This Agreement is made between TechVIP, (the "Seller") and the Buyer of the domain name(s). Buyer desires to purchase the registration rights to the Domain Name(s), both Buyer and Seller agree to the terms and conditions set forth in this Agreement. The details of this document describe the purchase agreement of the domain name(s), aka (the "Sale".)
This agreement serves as a legally binding contract for such domain name sale, with details on how the domain sale will take place between both parties.
This sales agreement is for the full purchase of the domain name(s): [DOMAIN NAME]
You have selected a [TERM] payment plan.
Your monthly payments will be [PAYMENT] per month.
You will be required to make one payment before receiving access to the domain name via a jointly managed account at GoDaddy.com.
Upon completing all payments, you will have paid [TOTAL PRICE] for the domain and will own the domain outright. At which time the domain name will be transferred directly into your Domain Registrar’s account.
If you break this contract at any point, you will forfeit the domain name(s) and this contract will be rendered invalid, and the domain name(s) will be returned to the Seller. You will have the right to complete the agreement early by rendering full payment on the remaining balance of the domain name(s) at any time throughout the agreement. Once full payment has been rendered you will have outright ownership of the domain name(s).>
For example, if you pick an 12 month payment plan where you are paying $1,000.00 per month, and decide to pay the remaining balance due on the payment plan after 5 months, where you have already paid $5,000.00, you will be able to do an "early settlement" at which point you will pay the remaining $7,000.00 balance of your payment plan, and the sale will be completed. After the balance is paid in full, the domain ownership will fully be transferred to you and you will be given full and unlimited care and control over the domain.
In addition to terms agreed upon in regards to payments rendered, monthly payments made toward the payment agreement will not be eligible for refunds, even in the event of failure to complete all payments toward the agreement and ownership of the domain name(s) is surrendered.>
Payments toward the purchase agreement will be made via credit card, according to the schedule listed in Section 2 above. Payments will be made monthly via automatic reoccurring payments until the full purchase price of the domain is satisfied. Should the credit card expire or have insufficient balance during this term, it is the buyer's responsibility to update the payment method and ensure payments are up to date.
The payment and transfer will go according to the schedule below:
A: Buyer agrees to the agreement, submits first payment
B: Seller will create a jointly managed account at GoDaddy.com, and move the domain(s) into that account where buyer can use the domain until the full purchase price of the payment is made. Transfer of this domain will not be allowed until the completion of this contract.
C: After buyer has made all payments for the domain(s), the sale will be considered finished and full ownership will be transferred.
This Domain Name Sales Agreement will be completed when all steps of the Payment / Transfer Process as detailed in Section 4 have been fulfilled, after Buyer has the domain(s), and Seller has been paid for the said domain name(s). At the time full ownership will change to be in the hands of the Buyer, this contract shall be rendered complete.
You may pay off the remaining balance at any time after starting a payment plan. Once a payment plan starts, all previous offers, discounts or previous prices on the domain(s) will be void and this contract will be the only legally binding contract between yourself and the Seller.
To pay off the remaining balance you must contact Seller for the link to make the final payment.
This does not preclude you from paying off the remaining balance of your payment plan at any time; however you will not be afforded any discount other than the one specifically identified in this section.
After 2 missed payments access to the domain(s) will temporarily be removed until either the missed payment is made up or the subsequent scheduled payment is made successfully, at which time the domain(s) access will be useable once again. Contact Seller to make up a missed payment after updating the credit card information. After 3 missed payments your payment plan will automatically be canceled and you will no longer have access to the domain(s), or any rights to the domain name(s) and this contract will be void.
Please note: If your credit card expires or is cancelled before the payment plan is complete, your automatic payments will not go through and access to your domain can be shut off, and the payment plan can potentially be cancelled. If this happens, contact Seller with questions or help on paying off the balance or setting up a new payment plan for the domain.
If you have missed any payments on the payment plan during the duration of the payment plan, all missed payments must be paid in full prior to gaining full control of the domain name. You will have 1 month after the final payment to pay for all remaining balances or else you will forfeit the domain name and this contract will be rendered invalid.
The Seller of these domain names waves all rights to current and future use of the domain names after this contract is complete. After successful ownership transfer of the domain name(s) and upon completion of the transfer process mentioned in section 4, the Seller will cease to have rights in the domain(s), or any claims to any form of ownership.
The Buyer agrees they are purchasing full rights to the Domain Name, and Seller will not be liable for any third party's use of the domain(s). Buyer understands that domain names have yearly renewal fees and after the payment plan is paid in full the Buyer will have sole responsibility for ensuring that these applicable fees are paid to the registrar. Buyer understands that these fees must be paid to retain ownership interest in the domain name(s) as per contracts with the Registrar, Registry and the Internet Corporation for Assigned Names and Numbers (ICANN). Buyer agrees that it is taking over full ownership, and Seller will not be responsible for management, hosting, DNS, or any other technical aspect of managing, maintaining or operations of said Domain Name(s).
This sales agreement covers the Domain Name(s) and all related properties such as existing logos, websites, related Facebook, Twitter, and Instagram accounts , and non TechVIP member owned content. No other tangible or intangible assets are considered a part of this sale.
Both Buyer and Seller agree the sale of said Domain Name(s) is with limited liability. Neither party shall be responsible to the other party for any financial or punitive damages in conjunction with this Domain Name Sale.
Seller shall be responsible for maintaining domain registration during the terms of this agreement. Upon completion of this agreement, buyer shall be responsible for annual registration fees. Fees are determined by the Registrar chosen to manage the domain(s).
You shall not give, bargain, sell, assign, sub-let or otherwise dispose of this Agreement or any part thereof or the benefit or advantage of the Agreement of any part thereof without the prior consent in writing from the other Party.
After completion of this Sales Contract as defined in Section 4, Buyer will be allowed to reassign, sell, sublet and do anything they wish with said Domain Name(s).
This Agreement shall be governed by the laws of the state of Texas, U.S.A., without reference to its choice of specific laws. The parties agree that the forum for dispute resolution under this Agreement shall be located exclusively in the courts of the state of Dallas, Texas, U.S.A. The parties specifically exclude the United Nations Convention of Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act from application to this Agreement.
This document is considered a legally binding once completed and first payment is rendered. The contract will be considered complete once all steps of the "Payment / Transfer Process" are finalized, whereby the domain will be in full control of the Buyer.
